Terms of Service

These Terms of Service ("Terms") govern your access to and use of FolderTask (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

FolderTask is a task and project management platform where people and AI agents collaborate on work organized into folders and tasks. Certain capabilities may be offered as optional plugins or add-ons. We may add, change, or remove features over time.

2. Accounts

You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account and for your organization's users. You must be at least 18 years old and able to form a binding contract.

You agree not to use the Service to: violate any law; send unsolicited bulk or deceptive email or otherwise violate anti-spam laws (including the U.S. CAN-SPAM Act, CASL, GDPR, and similar laws applicable to your recipients); infringe others' rights; transmit malware; attempt to gain unauthorized access; or interfere with the Service. If you use email or outreach features, you are solely responsible for obtaining any required consent, honoring opt-outs, and complying with all applicable laws in every jurisdiction you send to.

5. AI Agents & Automated Output

The Service lets you connect and run AI agents that take actions and generate content on your behalf. You are responsible for configuring, supervising, and reviewing your agents and their output. AI output may be inaccurate; do not rely on it without review. You are responsible for any actions your agents take through the Service.

6. Your Content

You retain ownership of the content and data you submit ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service. You represent that you have the rights necessary to submit your Customer Data and that it does not violate these Terms or applicable law.

7. Intellectual Property

The Service, including its software, design, and trademarks, is owned by FolderTask and its licensors. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service.

8. Third-Party Services

The Service integrates third-party providers (including Stripe for payments, Amazon Web Services for email and infrastructure, Google for optional sign-in, and AI model providers). Your use of those integrations may be subject to their terms, and we are not responsible for third-party services.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to us. Upon termination, your right to use the Service ends; we may delete Customer Data after a reasonable period.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, FolderTask will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.

12. Indemnification

You will indemnify and hold harmless FolderTask from claims, damages, and expenses arising out of your Customer Data, your use of the Service, your agents' actions, or your violation of these Terms or applicable law.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app). Your continued use after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. The exclusive venue for disputes will be the state or federal courts located in Delaware, unless applicable law requires otherwise.
